Clinical Decision Support Disclaimer

KyVeCT Vantage is a clinical decision support tool. It provides analytical insights and workflow support for healthcare documentation review, including home health and Medicare-sensitive intake workflows. It does not make independent clinical decisions, determine admission eligibility, determine coverage, or replace the professional judgment of qualified clinical personnel. All outputs must be reviewed, verified, and interpreted by the user before they are relied upon in any clinical, operational, billing, or compliance context.

These Terms of Service ("Terms") govern access to and use of the KyVeCT website, the KyVeCT Vantage platform, VANCE, and related services (collectively, the "Services") provided by KyVeCT LLC ("KyVeCT," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.

These Terms apply to all users, including visitors, pilot users, customers, and authorized users.

If you or your organization have entered into a separate written agreement with KyVeCT, including an order form, pilot agreement, or Business Associate Agreement, that agreement controls in the event of conflict.

KyVeCT does not determine whether a patient should be admitted.

All decisions regarding patient admission, eligibility, medical necessity, payer compliance, and clinical action remain the sole responsibility of the user and the user's organization.

All outputs must be reviewed by qualified personnel and must not be relied upon independently.

3.4 No Guarantee of Outcome

KyVeCT does not guarantee claim approval, reimbursement, regulatory compliance, audit outcomes, referral conversion, or any specific business, financial, operational, or clinical result.

Outputs are generated based on available documentation, system analysis, and algorithmic interpretation.

You acknowledge that outputs may be incomplete, inaccurate, inconsistent, or omit relevant clinical or regulatory considerations. Outputs are not authoritative or definitive.

KyVeCT makes no representation or warranty regarding the accuracy, completeness, usefulness, or applicability of any output.

5. No Legal, Regulatory, or Billing Advice

KyVeCT does not provide legal advice, regulatory interpretation, billing advice, or coding certification.

Any references to CMS, Medicare, PDGM, ICD-10, or similar materials are provided for informational purposes only. Users are responsible for independent validation and for obtaining legal, billing, coding, compliance, or clinical advice from qualified professionals where appropriate.

You agree not to submit Protected Health Information ("PHI") unless and until a valid Business Associate Agreement is in place where required.

You are responsible for complying with HIPAA and other applicable privacy, security, and healthcare laws in connection with your use of the Services. KyVeCT acts as a service provider or processor and is not a covered entity.

KyVeCT retains all right, title, and interest in the software, systems, workflows, designs, platform features, and related intellectual property, excluding your submitted data.

Subject to these Terms and any applicable written agreement, you receive a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes.

11. Service Availability

KyVeCT may modify, suspend, discontinue, restrict, or update any part of the Services at any time, including for legal, security, operational, or abuse-prevention reasons.

KyVeCT does not guarantee uptime, uninterrupted access, error-free performance, or suitability for every use case or workflow.

12. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available."

KyVeCT disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, KyVeCT shall not be liable for denied claims, lost revenue, regulatory penalties, clinical outcomes, operational decisions, lost business opportunities, or any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to these Terms or the Services.

To the maximum extent permitted by law, KyVeCT's total aggregate liability arising out of or related to these Terms or the Services is limited to the greater of: (a) the fees paid by your organization to KyVeCT in the twelve months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless KyVeCT, its affiliates, and its personnel from and against claims, liabilities, damages, losses, costs, and expenses arising out of or related to your use of the Services, your decisions, your submitted data, your violation of these Terms, or your violation of any law or third-party right.

15. Termination

KyVeCT may suspend or terminate access to the Services for violations of these Terms, legal requirements, payment failure where applicable, security risks, or operational protection reasons.

Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law.

Unless otherwise required by applicable law, disputes arising out of or relating to these Terms or the Services shall be brought in the state or federal courts located in Sacramento County, California, and the parties consent to that venue and jurisdiction.

KyVeCT may update these Terms from time to time. Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
